The rainforest-invest GmbH registered with the Register of Companies in 2006 in the MagistratesīCourt of Berlin-Charlottenburg. Registration number is HRB 104 060 B. The chief executive officers are Stefan Mudry and Achim Wendland, both owning 50% of the company. According to the articles of incorporation, the company was established to acquire land which is to be sold to investors with the purpose of reforestation and sustainable forestry management. Furthermore, the acquisition as well as the sale and the management of natural forests in Panama are included in this agreement. The GmbH is liable to the investors.

The rainforest-invest S.A., Panama is responsible for the operation of the plantations in Panama, established in 2006 and is entirely owned by the rainforest-invest GmbH. The executives are Stefan Mudry and Achim Wendland. The S.A. is obligated by the GmbH to manage the forestry projects in Panama. The profits realized are paid by the S.A. to the GmbH which then passes the profits on to the investors.

The framework agreement regulates the business relations between the GmbH and the S.A.
